The monthly retainer fee shall be specified in the relevant proposal, quotation or service agreement.

Unless otherwise agreed in writing:

  • Monthly retainer fees are payable in advance.
  • Invoices shall be issued monthly.

  • Charge statutory interest and compensation where applicable.

7. Cancellation and Termination

7.1 Cancellation by the Client
The Client may cancel the Services by providing at least 30 days’ written notice to GoTopSEO.

Notice must be sent to: info@gotopseo.co.uk

The cancellation period shall commence on the date GoTopSEO receives the written notice. The Agreement shall terminate at the end of the 30-day notice period, unless otherwise agreed in writing. The Client remains responsible for all fees payable during the notice period.

7.2 Cancellation by GoTopSEO
GoTopSEO may terminate the Agreement by providing 30 days’ written notice to the Client. GoTopSEO may terminate the Agreement immediately where:

  • The Client fails to pay outstanding invoices.
  • The Client engages in unlawful activity or requests unlawful services.
  • The Client becomes insolvent or enters an applicable insolvency process.

7.3 Fees Upon Termination

Upon termination:

  • All outstanding invoices shall become payable.
  • The Client shall remain responsible for fees incurred up to the termination date.

These factors include:

  • Search engine algorithms and ranking systems.
  • Competitor activity.
  • Website quality and technical infrastructure.
  • Content quality and relevance.
  • Backlink profiles.

  • Any specific search engine ranking.
  • First-page rankings on Google or any other search engine.
  • Any particular level of organic traffic.
  • Any specific number of enquiries, leads or sales.
  • Any particular return on investment.
  • The continued indexing or visibility of any website.
  • A particular timeframe for achieving SEO improvements.

The Client acknowledges that SEO results may fluctuate and that improvements may take time to materialise.

No statement made by GoTopSEO regarding potential SEO outcomes shall constitute a guarantee unless expressly agreed in writing.

9. Client Responsibilities

The Client agrees to:

GoTopSEO may require access to third-party platforms, including:

  • Google Search Console.
  • Google Analytics.

  • Website content management systems.
  • Hosting platforms.
  • SEO analysis tools.
  • Other relevant digital marketing platforms.

The Client is responsible for maintaining ownership of its accounts and ensuring that appropriate access permissions are granted.

GoTopSEO shall not be responsible for interruptions, account suspensions, restrictions or changes imposed by third-party platforms, except to the extent caused by GoTopSEO’s own breach of contract or negligence.

11. Content and Intellectual Property
The Client retains ownership of materials supplied to GoTopSEO. GoTopSEO retains ownership of its pre-existing methodologies, processes, templates, tools, systems and proprietary materials. Unless otherwise agreed in writing, content and deliverables created specifically for the Client shall be assigned or licensed to the Client, as appropriate, upon full payment of all fees relating to those deliverables.

GoTopSEO may use general knowledge, skills, experience and techniques gained during the provision of the Services. The Client warrants that any materials supplied to GoTopSEO do not infringe third-party intellectual property rights. GoTopSEO shall not be responsible for claims arising from materials supplied by the Client.

12. Link Building and Backlink Services
Where link-building or backlink-related services are included within the agreed scope, GoTopSEO shall use reasonable efforts to identify relevant and appropriate opportunities.

The Client acknowledges that:

  • Third-party websites may remove or alter backlinks.
  • Search engines may change their treatment of backlinks.
  • Third-party SEO metrics do not represent official search engine ranking factors.
  • Backlink availability and quality may change over time.

GoTopSEO does not guarantee a specific number of backlinks, domain authority score, ranking improvement or continued availability of any backlink. GoTopSEO shall not knowingly engage in activities intended to violate applicable search engine spam policies.

Unless expressly agreed otherwise, reports are provided for informational purposes and do not constitute a guarantee of business performance.

14. Confidentiality
Both parties agree to keep confidential all non-public business, commercial, technical, financial and operational information obtained during the engagement.

Confidential information shall not be disclosed to third parties except:

  • Where required by law.
  • Where necessary to deliver the Services.
  • With the written consent of the disclosing party.
  • To professional advisers or subcontractors subject to appropriate confidentiality obligations.

This obligation shall continue after termination of the Agreement.

15. Data Protection
Both parties agree to comply with applicable data protection legislation, including the UK General Data Protection Regulation and the Data Protection Act 2018, as amended.

Where GoTopSEO processes personal data on behalf of the Client, the parties shall enter into an appropriate data processing agreement where required by law. The Client is responsible for ensuring that any personal data supplied to GoTopSEO has been collected and disclosed lawfully. GoTopSEO shall implement appropriate technical and organisational measures to protect personal data processed in connection with the Services.

16. Limitation of Liability
Nothing in these Terms and Conditions shall exclude or limit liability where such exclusion or limitation is prohibited by law.

  • The Client materially breaches these Terms and Conditions.
  • Required access or information is not provided.
  • Continuing the Services would create a legal or regulatory risk.

Where reasonably practicable, GoTopSEO shall provide written notice before suspending the Services. Suspension shall not automatically terminate the Agreement or remove the Client’s obligation to pay outstanding fees.

Neither party shall be liable for delays or failures caused by circumstances beyond its reasonable control.

Such circumstances may include:

  • Natural disasters.
  • Government restrictions.
  • Internet or telecommunications failures.

The courts of England and Wales shall have jurisdiction over disputes arising in connection with these Terms and Conditions.

23. Entire Agreement
These Terms and Conditions, together with the relevant proposal, quotation or service agreement, constitute the entire agreement between the parties in relation to the Services. If any provision is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
